Welcome to Sipd. These Terms of Service ("Terms") are a legal agreement between you and Sipd LLC ("Sipd," "we," "us," or "our"), a New York limited liability company, governing your use of the Sipd mobile application (the "App"). By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.
Sipd is a bar and drink discovery app intended only for adults of legal drinking age. You must be at least 21 years old to create an account or use the App. By using Sipd, you represent and warrant that you are 21 years of age or older. We reserve the right to terminate accounts we believe belong to users under 21.
Sipd provides information about bars, venues, and drinks for informational and entertainment purposes only. Sipd does not sell, serve, or supply alcohol. We do not encourage excessive or irresponsible drinking. You are solely responsible for your own decisions regarding alcohol consumption and for drinking responsibly and lawfully. Never drink and drive.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current. You may delete your account at any time from within the App.
Sipd allows you to post content such as ratings, reviews, and notes ("User Content"). You are solely responsible for your User Content. You agree not to post content that is false, defamatory, harassing, obscene, infringing, or otherwise unlawful. You retain ownership of your User Content, but you grant Sipd a non-exclusive, worldwide, royalty-free license to host, display, and use it in connection with operating the App.
Ratings and reviews reflect the personal opinions of users, not Sipd. We do not verify and are not responsible for User Content, and we may remove content that violates these Terms.
The App displays information about bars and venues, including data from third-party sources such as Google Places and Google Maps. We do not own, operate, endorse, or control these venues, and we do not guarantee the accuracy, availability, pricing, hours, or quality of any venue or its offerings. Your interactions with any venue are solely between you and that venue.
You agree not to: (a) use the App for any unlawful purpose; (b) harass, threaten, or harm other users; (c) attempt to access accounts or data that are not yours; (d) interfere with or disrupt the App or its servers; (e) scrape, copy, or misuse data from the App; or (f) misrepresent your age or identity.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SIPD DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT INFORMATION (INCLUDING VENUE INFORMATION) WILL BE ACCURATE OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIPD LLC AND ITS MEMBERS AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE APP, YOUR CONSUMPTION OF ALCOHOL, OR YOUR INTERACTIONS WITH ANY VENUE OR OTHER USER. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify and hold harmless Sipd LLC and its members and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App, your User Content, your violation of these Terms, or your violation of any law or the rights of any third party.
We may suspend or terminate your access to the App at any time, with or without notice, if you violate these Terms or for any other reason. You may stop using the App and delete your account at any time.
We may update these Terms from time to time. We will update the "Last updated" date above. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of New York and applicable United States federal law, without regard to conflict-of-law principles.
